To own Strategy today you have to buy into two things: that Bitcoin remains the core value driver, and that management can juggle a complex capital stack without eroding that exposure per common share. The planned repurchase of about US$1.50 billion of 0% convertible notes, partly funded by cash, new equity and possibly Bitcoin sales, pulls those two threads together. It directly addresses debt and future dilution risk, which had become a key short term concern given sizeable convertibles and high preferred dividends, but it also introduces a new tension: Bitcoin is no longer untouchable. If those sales stay modest relative to ongoing accumulation, the impact on the long term Bitcoin-per-share story may be limited, yet the bar for execution on funding, dilution and dividend coverage just moved higher.
